"You" or "your" means the business customer or authorised representative of a business entity accessing or using the Site in the course of a business, trade, or profession.

• Submitting business enquiries and managing account information;

Intellectual property rights include copyright, trade marks, domain names, design rights, database rights, patents, and all other intellectual property rights of any kind, whether registered or unregistered, anywhere in the world. We reserve all of our rights in any intellectual property in connection with these Terms.

Nothing in these Terms grants you any legal rights in the Site other than as necessary to enable you to access it. Authorised business users may download and print materials from this Site for internal business purposes only, provided that such materials are not modified or altered in any way and that all copyright and trade mark notices are retained. No material may be reproduced, distributed, or transmitted for external commercial purposes without our express prior written consent.

The use of any of our trade marks on the Site is strictly prohibited unless you have our prior written permission, including the trade marks LG Electronics and any associated logos.

Orders and contract formation

All orders placed through the Site are subject to our written acceptance. The display of products and prices on this Site does not constitute a binding offer and may be changed at any time without notice. A legally binding contract is only formed when LG issues a written order confirmation to the customer. We reserve the right to decline any order at our sole discretion, including where goods or services are unavailable or where we are unable to verify your business status. Any quotation we provide is valid for 30 days from the date of issue and does not constitute a binding offer.

Payment terms

Unless otherwise agreed in writing, payment is due within 30 days of the date of invoice. We reserve the right to charge interest on overdue amounts at the rate of 8% per annum above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998, from the due date until the date of actual payment. We also reserve the right to recover reasonable debt-recovery costs and to suspend the supply of goods or services if payment is not received by the due date. Time for payment is of the essence.

Delivery, risk, and title

Delivery dates and lead times are estimates only and do not constitute a contractual commitment. We shall not be liable for any loss arising from delays in delivery caused by circumstances outside our reasonable control.

Risk in goods passes to you upon delivery. Title in goods shall remain vested in LG until we have received payment in full for those goods and for all other sums outstanding from you at the time of delivery. Until title passes, you must store the goods separately and in a manner that clearly identifies them as our property.

Returns

Business customers do not have an automatic right of return. Statutory cancellation rights under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 do not apply to business customers. Returns will only be accepted where: (a) the goods are defective or do not conform to their specification; (b) you have obtained our prior written agreement; and (c) the goods are returned in original condition and packaging within the period agreed with us. We reserve the right to levy a reasonable restocking charge on agreed returns that are not due to defect or non-conformity at our discretion.

Accuracy of information and site availability

Whilst we endeavour to ensure that the Site is accurate and up to date, we cannot guarantee that it will be free from errors. To the fullest extent permitted by law, we shall not be liable for any reliance you may place on information on this Site, which is at your own risk. Content is provided on an "as is" basis for general business information purposes only. It does not constitute technical, financial, or legal advice and should not be relied upon for any purpose.

We may suspend, update, or terminate operation of the Site at any time. We reserve the right to vary these Terms from time to time. Liability

Nothing in these Terms excludes or limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited under applicable law.

Subject to the above, and to the fullest extent permitted by law (including the Unfair Contract Terms Act 1977):

• We shall not be liable to you, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, for any loss of profit, loss of revenue, loss of business, loss of anticipated savings, loss of data, or any indirect or consequential loss arising under or in connection with these Terms or your use of the Site;

• Our total aggregate liability to you in respect of all claims arising under or in connection with these Terms shall not exceed the value of the goods or services supplied by us to you under the relevant contract or, where no specific contract value applies, £10,000 (ten thousand pounds sterling);

• We shall have no liability to you for any failure or delay in performance arising from any cause beyond our reasonable control, including strikes, lock-outs, breakdown of systems or network access, flood, fire, explosion, epidemic or pandemic, or acts of government or regulatory authority.

The parties acknowledge that these limitations reflect the commercial allocation of risk between business parties and are reasonable in that context.

Indemnity

Where the Site is not used in accordance with these Terms and your act or omission causes loss or harm to any party (including LG, our affiliates, or any other party), you agree to indemnify us in full against all claims, liabilities, losses, damages, costs, and expenses (including reasonable legal fees) arising from or in connection with any breach of these Terms by you or any person acting on your behalf.

Governing law and jurisdiction

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.

Customer notice - fraudulent emails

We have become aware of scam emails sent by unauthorised third parties fraudulently claiming to be running promotions on our behalf or from us. We confirm that none of these emails are official LG Electronics U.K. Limited promotions or offers of employment and we do not accept any association with or liability arising from such emails. Recipients are advised not to respond to or provide personal data in response to such emails.

Variation of these Terms

We reserve the right to vary these Terms from time to time. Updated Terms will be displayed on the Site. Material changes to these Terms will be notified to registered B2B account holders by email where practicable. Changes will not apply retrospectively to existing contracts already formed.
