This Agreement shall be construed and take effect in accordance with laws of Hong Kong Special Administrative Region of the People’s Republic of China (“Hong Kong”). Any disputes arising out of or relation to this Agreement shall be settled by arbitration in accordance with the UNCITRAL Arbitration Rules as at present in force and as may be amended by the rest of this Clause. The appointing authority shall be the Hong Kong International Arbitration Centre (“HKIAC”). The place of arbitration shall be in Hong Kong at the HKIAC. The language to be used in the arbitral proceedings shall be English. There shall be only one (1) arbitrator to be appointed by mutual agreement between the parties on the choice of arbitrator, or if otherwise no mutual agreement, to be appointed by the HKIAC in accordance with the UNCITRAL Arbitration Rules. The award rendered by the HKIAC shall be final and binding on the parties hereto. The Parties will abide by any decision in the arbitration and any court having jurisdiction may enforce it.
